# SPIKE Affiliate Program Terms
Effective September 2, 2026
These terms govern your participation in the SPIKE affiliate program. In these terms, “SPIKE,” “we,” “us,” and “our” mean the operator of the SPIKE store and affiliate program. “Affiliate,” “you,” and “your” mean the approved participant.
By accepting these terms, you confirm that you have read them and agree to follow them. If you do not agree, do not participate in the program.
## 1. Eligibility and account
You must be at least 18 years old, live in the United States, and be legally able to enter this agreement. You must give accurate account, payment, and tax information and keep it current.
Your account is personal to you. Do not sell, transfer, share, or create duplicate accounts. You may use the affiliate portal only while SPIKE has approved your account. SPIKE may reject, suspend, or close an account to protect customers, the brand, or the program.
## 2. Independent relationship
You are an independent contractor. You are not an employee, agent, partner, franchisee, representative, or legal spokesperson of SPIKE. You cannot bind SPIKE, make commitments for SPIKE, negotiate on SPIKE’s behalf, or claim that SPIKE has approved a statement unless SPIKE gave you that statement in writing.
You control when, where, and how you promote, subject to these terms and applicable law. You are responsible for your expenses, equipment, taxes, permits, and insurance.
## 3. Referral code and attribution
Use only referral codes and links issued or approved by SPIKE. Do not alter, imitate, or create look-alike codes or links.
A paid order is attributed to you only when the customer uses your active SPIKE referral discount code at checkout and the program records the attribution. Clicks, cookies, social tags, UTM parameters, screenshots, or customer statements do not create financial attribution by themselves.
Shopify is authoritative for orders, payment status, discounts, cancellations, chargebacks, and refunds. The SPIKE affiliate ledger is authoritative for commission balances and payout history.
You may not place self-referrals, refer orders that you control, use another person to place a disguised self-referral, or interfere with another affiliate’s attribution. SPIKE may reject suspected duplicate, fraudulent, manipulated, or ineligible orders.
## 4. Commission calculation
Your current commission rate, holding period, payout threshold, currency, and schedule appear in the affiliate portal. The rate in effect when an eligible order is processed applies to that order.
Unless the portal states otherwise, commission is calculated on eligible net merchandise after discounts. Commission does not apply to taxes, shipping, gift cards, refunded amounts, cancelled items, chargebacks, or other non-merchandise amounts.
Commission first appears as pending. Pending commission is not approved or payable. SPIKE may reduce, reject, reverse, or adjust commission to reflect Shopify order truth, refunds, cancellations, duplicate effects, calculation errors, policy breaches, or fraud. Every financial correction remains in the program ledger; SPIKE does not erase financial history.
## 5. Approval, refunds, and recovery
Commission becomes approved after the holding period or merchant review shown in the portal. A refund or cancellation can reduce or reverse unpaid commission, including after the holding period.
If a refund, cancellation, chargeback, or error is discovered after a payout, SPIKE may offset the amount against future commission or request repayment. SPIKE will not change a paid ledger entry to pretend that payment did not occur.
## 6. Payouts
You must reach the payout threshold and provide complete payment and tax information before a payout can be prepared. SPIKE currently pays outside the affiliate app using the method arranged with you. Approval, CSV export, or “processing” status does not mean money has been sent.
A payout is paid only after SPIKE records a stable external payment reference. Bank and payment-provider processing times are outside SPIKE’s control. SPIKE may hold a payout while it investigates incorrect details, suspected fraud, legal requirements, returns, chargebacks, or an account suspension.
You are responsible for fees charged by your bank or payment provider unless SPIKE agrees otherwise in writing.
## 7. Required affiliate disclosure
Whenever you endorse, recommend, review, or link to SPIKE in a context where people may not understand that you can earn money, clearly and conspicuously disclose the relationship.
Place the disclosure close to the endorsement or link, where people will notice it before acting. Use plain language, such as: “I earn a commission from purchases made through this link.” A profile disclosure alone is not enough. “Affiliate link,” “commissionable link,” or a buy button by itself may not clearly explain the relationship.
On social media, use an unavoidable disclosure such as “Ad,” “Sponsored,” or a plain statement that you earn commission. Do not hide the disclosure after “more,” in a hashtag block, only in a profile, or where audio or video viewers are unlikely to notice it.
## 8. Truthful supplement and health claims
All statements must be truthful, not misleading, and supported before publication. Consider the full impression created by your words, images, demonstrations, testimonials, links, and omissions.
Use only product facts and claims that SPIKE has approved. Do not exaggerate study results, imply a result is typical when it is not, invent clinical support, change qualifications, or claim that personal experience proves a general health result.
Do not say or imply that a SPIKE product diagnoses, treats, cures, mitigates, or prevents a disease. Do not present a supplement as a replacement for medical care, a prescribed drug, or professional advice. Do not tell anyone to stop or change treatment.
If you use an approved structure/function claim, keep every required qualification and disclaimer close to the claim. A disclaimer does not cure a false, misleading, or unsupported claim.
Do not claim that FDA or FTC has approved a product, claim, endorsement, or advertisement unless SPIKE has given you exact written language for that statement.
## 9. Endorsements and testimonials
Describe only your honest experience. Do not make a claim that SPIKE could not make directly. Do not use fabricated reviews, undisclosed paid reviews, fake experts, altered before-and-after media, or testimonials that create a misleading impression.
Disclose free products, discounts, gifts, commission, employment, family relationships, or any other connection that could affect how a reasonable person weighs the endorsement.
## 10. Prohibited promotion
You must not:
- send spam or violate email, text-message, telemarketing, privacy, or advertising law;
- use cookie stuffing, forced clicks, hidden redirects, adware, malware, deceptive browser extensions, or automated traffic;
- publish false coupons, fake scarcity, misleading prices, or expired offers;
- bid on SPIKE brand terms in paid search without written permission;
- register or use domains, accounts, handles, business names, or ads that impersonate SPIKE or create confusion about ownership;
- promote through illegal, hateful, harassing, sexually explicit, violent, or deceptive content;
- target children or collect personal information for SPIKE;
- resell, redistribute, or offer unauthorized incentives for purchases; or
- interfere with the store, checkout, referral system, another affiliate, or program records.
## 11. Brand and content license
While your account is approved, SPIKE gives you a limited, non-exclusive, non-transferable, revocable license to use approved SPIKE names, logos, product images, and marketing materials only to promote SPIKE under these terms.
Do not alter logos, remove notices, claim ownership, sublicense materials, create confusing derivative branding, or use SPIKE intellectual property in a domain, app, product, company, or account name without written permission.
Remove or correct content promptly when SPIKE asks. The license ends immediately when your participation ends.
## 12. Confidentiality and privacy
Keep non-public program, customer, product, pricing, security, and business information confidential. Use portal information only to operate your own affiliate account.
Do not collect payment, health, tax, account, or identity information on SPIKE’s behalf. Protect any personal information you independently collect and follow applicable privacy law. Never disclose portal credentials, private links, payment details, or tax information.
## 13. Monitoring and records
SPIKE may monitor public promotion, code use, orders, refunds, and program activity to enforce these terms and applicable law. You must provide reasonable evidence of disclosures or claims when requested and promptly correct or remove non-compliant content.
Keep records that support objective product claims and required disclosures. Tell SPIKE promptly about suspected fraud, account compromise, incorrect payment, or regulatory complaint.
## 14. Suspension and termination
Either party may end participation at any time. SPIKE may suspend or terminate immediately for a legal violation, unsafe or deceptive claim, fraud, spam, brand misuse, security risk, non-cooperation, or material breach.
Suspension stops portal access and new commission accrual. Termination does not erase valid financial history. Eligible approved balances remain subject to refunds, chargebacks, offsets, investigation, payment requirements, and these terms. Ineligible or fraudulent commission is not payable.
Sections that by their nature should survive—such as financial reconciliation, confidentiality, intellectual property, taxes, liability, and dispute provisions—continue after termination.
## 15. Taxes
You are responsible for reporting and paying your taxes. SPIKE may require tax forms or withhold payment when legally required. You are responsible for the accuracy of information you submit.
## 16. No earnings guarantee
SPIKE does not guarantee traffic, sales, commission, approval, availability, conversion rates, or income. Product availability, prices, discounts, commission settings, and the program may change.
## 17. Responsibility and liability
You are responsible for your promotion and any claim arising from your content, conduct, legal violations, or breach of these terms. To the extent allowed by law, you will defend and reimburse SPIKE for third-party claims, losses, penalties, and reasonable costs caused by your breach, unlawful promotion, or misuse of SPIKE materials.
To the extent allowed by law, SPIKE is not liable for indirect, incidental, special, punitive, or consequential damages, lost profits, lost data, or lost opportunity. SPIKE’s total liability arising from the program will not exceed the commission paid to you during the six months before the event giving rise to the claim. These limits do not apply where applicable law does not allow them.
## 18. Changes and notices
SPIKE may update these terms by publishing a new version in the portal. You must accept the current version before continuing to use the portal when acceptance is required. Continued participation after acceptance means the new version applies from its effective date.
Program notices may be delivered through the portal or to your account email. Keep that address current.
## 19. General terms
You may not assign this agreement without SPIKE’s written consent. If one provision is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. These terms and the program settings shown in the portal form the agreement about your participation, unless SPIKE signs a separate written agreement with you.
Questions about these terms must be sent through the contact method provided by SPIKE or the affiliate portal.
Applying does not record acceptance. If approved, you will accept the current version once when you first sign in.
